Terms of Service

1. Scope

These Terms of Service govern all contracts between Luneeo Systems, Am Hopfenberg 14c, 34266 Niestetal, represented by Maksim Suras ("hainsoft") and the customer for use of the hainsoft.io SaaS platform.

2. Contract conclusion

The contract is concluded upon registration on hainsoft.io and email confirmation. By registering, the customer confirms having read and accepted these Terms.

3. Scope of services

hainsoft provides the customer with the functions described on hainsoft.io as Software-as-a-Service. The exact scope of services depends on the chosen plan. hainsoft is entitled to further develop the platform and add or change features, provided this is not unreasonable for the customer.

4. Fees and payment

Use is free for 14 days (trial period). After the trial, the monthly or annual fee specified in the chosen plan is due. Payments are processed via Stripe. Invoices are due upon receipt. In case of payment default, hainsoft reserves the right to suspend access.

5. Term and termination

The contract runs indefinitely and may be terminated monthly at month-end. Annual payments run for the paid period. Termination can be done at any time via account settings or by email. hainsoft is entitled to terminate for cause with immediate effect (e.g. breach of these Terms).

6. Availability and SLA

hainsoft aims for 99.5% monthly availability, excluding planned maintenance windows. A guaranteed availability level only applies if explicitly stated in the plan.

7. Data protection and security

hainsoft processes the customer's personal data solely for service delivery, in accordance with the Privacy Policy. Where required, the parties will enter a separate Data Processing Agreement (DPA) pursuant to Art. 28 GDPR.

8. Liability

hainsoft is fully liable for intent and gross negligence. For slight negligence, liability is limited to breaches of material contractual obligations, capped at foreseeable typical damage. Liability for data loss is limited to the recovery effort that would have arisen with proper data backup.

9. Final provisions

German law applies, excluding UN Sales Law. Place of jurisdiction is Kassel for commercial customers. Should individual provisions be invalid, the remaining provisions remain effective.
